SAMMANFATTNING
Syftet var att se vilken roll Europabolag kommer att få i unionen. För att uppnå detta studerades tillgänglig litteratur och relevanta rättsakter. Bolagsformen fanns ännu endast på planeringsstadiet men hade utvecklats genom ett antal direktiv. Dessa hade grunden i romfördragets regler om etableringsfrihet och den inre marknaden och även en förordning var under arbete. Jämförelser mellan medlemsstater visade att förutsättningarna för företag var olika i skilda europeiska länder. En konsekvens av detta kunde vara att företag flyttade till den mest gynnsamma medlemsstaten. EG-domstolen avgjorde nyligen ett fall där det visades att etableringsfriheten rangordnades högt inom gemenskapen. Då Europabolag sattes i relation till bestämmelserna angående missbruk av dominerande ställning drogs slutsatsen att konkurrensen i Europa inte nämnvärt hotades av Europabolagens förmodade större storlek.

The purpose was to see what role the European Company would get in the Community. To attain that accessible legal material and other relevant literature was studied. European Company did not exist beyond the stage of planning, but it had developed through a number of directives. Those were founded with the regulations of establishment in the Treaty of Rome, and even an ordinance was under construction. Comparisons between memberstates showed that conditions for companies were different in separate European countries. This could end in companies moving to where the conditions were most advantageous. The EC-court recently concluded a case where it was made clear how highly ranked the freedom of establishment was by the Community. As European companies were put in relation to the regulations of abuse of dominating position, the conclusion was made that the competition in Europe was not threatened by the supposed size of the future companies.
